The Assistant General Counsel position will be part of the Corporate Group of the Deloitte Global Office of General Counsel. Led by the General Counsel, Deloitte Global OGC consists of approximately 50 people, including lawyers, accountants and legal assistants located in various US cities and abroad. Deloitte Global OGC has four main groups: Corporate, Shared Services & Technology, Claims and Regulatory, each of which is led by a Deputy General Counsel. The Corporate group currently has 7 full-time people, including the Deputy General Counsel, lawyers and legal assistants.
 
The new Assistant General Counsel will be joining a dynamic, innovative and fast-paced legal department, working with lawyers and business leaders around the world.
 
The person hired will contribute in the following areas:

Transactions 
  • Lead Deloitte Global attorney for cross-border mergers, joint ventures and other strategic arrangements within the Deloitte network
  • Lead Deloitte Global attorney on cross-border financial transactions, working with the Business and Finance teams, including managing the legal aspects of our banking relationships as well as financial transactions with member firms around the world
  • Provide legal advice on large or strategic external global acquisitions by the Deloitte network
  • Advise on cross-border legal entity structuring/restructuring across the Deloitte network
Governance
  • Provide expert legal advice to the Global Board and Global Executive, working closely with the Global Chair and Leadership
  • Advise on the powers, authorities, and responsibilities of the Deloitte Global Board, Board Committees, and Executive
  • Advise on matters relating to structure of the Deloitte Network
  • Advise on proposed amendments to governance documents
  • Advise Deloitte Global leadership on material member firm matters, activities, and transactions
  • Ensure compliance with governance obligations
  • Prepare resolutions and filings, including certain securities filings
General Matters
 
  • Advise on aspects of global strategies
  • Advise on aspects of compliance
  • Advise on risks to the Deloitte Network based on proposed transactions, structural matters, and other activities
  • Provide legal advice on the provision of services by Deloitte Global to member firms, including the structure of how such services are provided
  • Review press releases and other communications
  • Support efforts to protect the Deloitte brand/sub-brands and license them internally
  • Work closely with DTTL business and legal leaders and member firm leaders around the world
 

The team

Global General Counsel provides legal guidance and expertise to Deloitte Global, the broader Deloitte organization, and our business leaders. We advise on regulatory, claims, and corporate legal matters, as well as additional issues that may pose novel or unique situations.

Qualifications

 
Education: Bachelor’s degree and a J.D. (or equivalent law degree) from a top law school.
 
Years of Experience: 12-15 years of experience at a top tier law firm in cross-border M&A or Private Equity, ideally with some Finance experience.
 
Qualifications
 
  • Ability to lead large multi-national transactional deals in one or more of the following industries: private equity, banking, financial advisory services, professional services, real estate, asset management, telecommunications, pharmaceuticals, technology and energy.
  • Experience drafting and negotiating as the lead attorney transactional documents, merger agreements, purchase and sale agreements, commercial contracts, funding and investment agreements, transitional services agreements, non-disclosure and confidentiality agreements, letters of intent, MOUs, and company formation and organizational documents.
  • Significant international/cross-border legal experience
  • Highly client-service oriented with a proven commitment to quality
  • Demonstrates consistent thought leadership and strategic thinking in sensitive and complex situations
  • Ability to communicate clearly and effectively delivering information orally and in writing
  • Strong work ethic; we are a leanly staffed legal department and everyone in the Corporate group handles a broad array of matters, works on all facets of those matters and directly interfaces with Deloitte Network leaders
  • Ability to build and maintain business relationships across the Deloitte Network and externally
